The Director, Risk & Compliance is responsible for leading the Enterprise Risk Management (ERM) Program and the Environmental, Social and Governance (ESG) Strategy and Program for the Company, including its subsidiaries. The incumbent is also responsible for ensuring a robust approach for documentation, tracking, fulfilment and reporting of the key compliance obligations of the Company under material or significant contracts, as well as applicable regulatory regimes or standards of operation.
Major Activities:
  • Lead, evolve and manage the Enterprise Risk Management (ERM) Framework and Program, including all processes and practices which effectively ensure that the ERM program remains current and effective in identifying and monitoring corporate strategic and operating risks.
  • As part of the ERM program, coordinate the continuous development, improvement, maintenance, compliance, communication and testing of the Business Continuity and Disaster Recovery Programs, including BCP compliance for ISC and its subsidiaries.
  • Lead, evolve and manage the enterprise wide Environmental, Social and Governance (ESG) Framework, Strategy and Program Development, including enterprise wide ESG performance metrics, measurement and reporting process.
  • Ensure the creation and fulfillment of compliance standards and processes for the Company, including:
    • in relation to material contracts, client relationships, regulatory standards, corporate certifications, etc.
    • management and evolution of corporate compliance obligations and calendar
    • development of key compliance policies for the Company
    • continual assessment and evaluation of compliance standards and their effectiveness for the Company
    • standards and processes for monitoring, reporting and associated procedures (i.e., scorecards, environmental scan, monitoring metrics).
  • Collaboration with compliance and business leaders and teams, and with other Corporate Affairs colleagues, in the development, implementation and evolution of appropriate risk and compliance frameworks, standards, management systems and processes
  • Development and delivery of performance measurement and reporting tools for ERM, ESG and other compliance activities for a variety of internal and external audiences and stakeholders.
  • Performance reporting and communication - quarterly reporting and communication of results to leaders and the organization as required; lead the development of business performance management tools and measurement systems to facilitate and support corporate performance improvement.
  • Staying current on best practices in risk, compliance, ESG and related reporting, and undertaking and/or leading research and policy analysis in related areas to provide for the delivery of these functions and services to the standard of excellence and sustainability that ISC aspires to achieve in all aspects of its business activities, and aligned to its obligations to and the expectations of the Company’s various stakeholders, including, clients, customers, employees, community, financiers, regulators, shareholders and the public markets generally.
  • Participate in planning, budget, forecast and expense management for areas of functional responsibility
  • Development and delivery of presentation materials that effectively convey concepts and initiatives succinctly and using creative visual or other tools to demonstrate activities, analysis or recommendations.
  • Regular liaison with ISC Board members and executive and engagement in strategic thinking, analysis and dialogue.
Knowledge and Skills:
  • Relevant University degree, with 7-10 years related work experience or an equivalent combination of education and experience may be considered. Areas of experience may include governance, risk, audit or legal. Expert knowledge in best practice ERM, ESG and compliance approaches and experience in establishing related processes to implement and deliver these initiatives across organizations.
  • Strong knowledge and understanding of regulatory requirements.
  • Strong knowledge and experience with articulating performance metrics or targets, and monitoring, measuring and communicating corporate performance achievements.
  • Excellent written and verbal communication skills and demonstrated ability to work with senior management and Board levels.
  • Demonstrated ability to interact with and influence leaders across the organization, maintaining a high level of trust and confidence.
  • Experience in conducting research, strategic analysis, synthesizing data and anecdotal information, and identifying trends and industry best practice.
  • Must be well organized and able to deliver results on a timely basis, exercising sound judgment and working collaboratively.
  • Demonstrated ability to manage multiple priorities or projects, and complete complex tasks on time.
  • High level of initiative, with strong planning and project management skills to successfully drive results.
