We are looking for a Governance and Board Liaison who will report to the Chief Executive Officer and provide governance support to the CEO and other members of our Executive Team. As Board Liaison, this role is also an integral part of continuity between our governing Board of Trustees and the office of the CEO.


The Board Liaison is expected to have a wide range of administrative knowledge and practical expertise including offering governance-related solutions to incoming issues on behalf of the CEO, the Board and also the Executive team. This position is key in providing a bridge for smooth communication between our Executive team, the Board and other key stakeholders.

In this role, you are key to our organization’s success and we love it when you roll up your sleeves to keep us on track. The typical daily tasks under each portion of this job are detailed below:


Role Responsibilities:

  • Act as the primary support serving all administrative needs of the Board
  • Support the Board Chair with all scheduling and meeting preparation needs
  • Effectively comprehend and apply the Board’s bylaws, policies, processes and procedures
  • Anticipate needs of the Board and proactively suggest changes to the Board’s bylaws, policies, processes and procedures
  • Maintain the Board member stakeholder register tracking terms, individual specifics, etc.
  • Manage the Board’s online portal (BoardEffect)
  • Provide end-to-end meeting support for all Board and Committee meetings, including:
    • Establishing an annual meeting calendar for the board and establish work-back schedules to ensure management meets board deadlines)
    • Booking space, accommodation, catering, A/V requirements, etc.
    • Prepare, proof and upload all meeting packages for circulation to Board members, including recommendations on content to drive clarity and impact.
    • Attend all meetings to provide technical support and record minutes, motions, decision and actions for follow-up
  • Maintain the Board action and motion register to ensure follow-up on outcomes of Board meetings
  • Manage workplans for the Board and its committees, including review and approvals of Board approved policies, Terms of Reference, and other governance related items
  • Support recruitment and orientation of new Board members, including ensuring all applicable policies are signed off on during the orientation period
  • Liaise with Alberta Health Services’ Foundation Relations to process Board member appointments and renewals, as well as other adhoc Board related improvements that require AHS Board approval
  • Administer, analyze and collate survey results for the Board’s review
  • Draft various communications for distribution to the Board
  • Contribute Board related materials required for the year-end audit process
  • Process various documents requiring approval and sign-off from the Board, Board Chair or Finance & Audit Chair
  • Process board member expense reimbursements related to travel and meeting expenses, etc.
  • Cross-train back-up coverage on core tasks to support the Board

Your Qualifications

  • A superior document control skillset is critical to ensure accuracy of Board-related material and appropriate record-keeping
  • An ability to operate at both an intricate detailed level and overarching governance systems level is vital
  • An aptitude to think critically and use sound judgment is important
  • Diploma in Office Administration, Business Administration, Legal Assistant or other relevant discipline
  • Minimum 5 years of experience in a board support role or as an Executive Assistant to Senior Executive staff members.
  • Minimum 2 years experience in governance preparation, reporting and accountability. Other transferable experience will be considered an asset.
  • Experience with Board Effect or another Board Software tool is considered an asset
  • Eligible for Work in Canada
  • Background CheckNote: Due to the cyclical nature of this role, aligned with quarterly reporting, there is flexibility to manage fluctuating hours as required.

Note; Due to the fluctuating nature of this role, there is flexibility to build a schedule that could be less than full time for an experienced candidate if desired. (ie: 0.8 FTE)
